NOTICE OF SPECIAL MEETING OF THE BOARD OF DIRECTORS OF THE
E-86 METROPOLITAN DISTRICT
NOTICE IS HEREBY GIVEN that the Board of Directors (the “Board”) of E-86 Metropolitan District (the “District”), in Elbert County, Colorado, will conduct a special meeting on Wednesday, February 19, 2025 at 10:00 a.m. at Pines & Plains Library Meeting Room, 651 Beverly Street, Elizabeth, Colorado 80107 and which such meeting will also be made accessible via Zoom video/teleconference as follows.

There will be at least one person present at the physical location posted on this Notice.
At such meeting it is anticipated that the Board will make a final determination to issue or refund general obligation indebtedness. Specifically, the Board will consider adoption of a Resolution authorizing the issuance of the District’s Subordinate General Obligation Limited Tax Bonds, Series 2025B(3) (the “Bonds”) in a maximum aggregate principal of up to $1,800,000, for the purpose of paying, reimbursing and financing certain public improvements for the District and paying the costs incidental to the issuance of the Bonds; and, in connection therewith, approving an Indenture of Trust to be entered into by the District with BOKF, NA as Trustee thereunder (the “Trustee”) with respect to the Bonds; and other related documents and instruments (collectively, the “Financing Documents”); authorizing the execution and delivery of the Financing Documents and performance by the District under the Financing Documents; approving, ratifying and confirming other actions; making determinations and findings as to other matters related to such financing; authorizing incidental action; and repealing prior inconsistent actions.
Also at such meeting, the Board will take up such other business as may be before the Board, including the items listed on the attached Agenda. The meeting is open to the public, and members of the public are encouraged to participate by video/teleconference.
Pursuant to the provisions of the Supplemental Public Securities Act: (i) no legal or equitable action brought with respect to any legislative acts or proceedings in connection with the authorization or issuance of such general obligation indebtedness may be commenced more than thirty days after the authorization of such indebtedness pursuant to the aforementioned resolution; and (ii) one or more members of the Board may participate in this meeting and may vote on the foregoing matters through the use of a conference telephone or other telecommunications device.
This notice is given by the order of the Board.
